01Agreement
Who these terms bind.
These terms govern your use of FoloEngine and any related services provided by Folowise ("we", "us", "our"). By requesting a license, activating a license key, signing a quote, or sending us a sandbox request, you ("you", "licensee") agree to these terms. If you are agreeing on behalf of a company, you confirm that you have authority to bind that company.
In these terms, "the package" means the FoloEngine commerce software you install into your website; "the control plane" means the central FoloEngine service operated by Folowise that manages licenses, feature grants, and site health; and "your site" means each website in which you install the package under a license.

02The product
What FoloEngine is, in one paragraph.
FoloEngine is a commerce engine in two parts. The package runs inside your website, on your own infrastructure, and stores all commerce data (products, orders, customers, reviews, payment records) in your own database. The control plane, operated by us, validates your license, delivers your feature grants over a cryptographically signed channel, and monitors the technical health of your site through periodic telemetry. The control plane does not host your shop, does not serve your pages, and does not store your commerce data.

03License
What a license grants you.
A FoloEngine license grants you a non-exclusive, non-transferable right to install and run the package in the site(s) named in your quote or order, for the duration of your subscription. One license covers one site. If you operate multiple sites, you need a license per site. Licenses are not sublicensable and may not be shared, rented, or resold.
We retain all rights, title, and interest in FoloEngine, the package, the control plane, and any improvements we make over time. Nothing in these terms transfers ownership of our intellectual property to you. Your commerce data, your storefront design, and your own code remain yours at all times.

04Your responsibilities
What running it in your house means.
Because FoloEngine runs on your infrastructure, you are responsible for: hosting and operating your website; backing up your database and files (we hold no copy of your commerce data and cannot restore it for you); keeping your server, PHP runtime, and dependencies reasonably up to date; applying package updates we publish, especially security releases; and keeping your license key and signing credentials secret. The license key is shown to you once at issuance; treat it like a password.
You are also responsible for the lawfulness of the commerce you run on top of the engine, including consumer, tax, and data protection obligations toward your own customers.

05Acceptable use
How you may use it.
You agree not to: reverse engineer, decompile, or copy FoloEngine to build a competing product; remove, disable, or attempt to circumvent the license validation, capability gating, or request signing layers; use one license key across multiple sites; use the engine for illegal activity; or probe, overload, or disrupt the control plane. You may build any storefront you want on top of the package, in any design language, framework, or vertical, and you may extend it with your own code, as long as the storefront is the product you sell, not the engine itself.

06Telemetry
The signals your site sends us.
While licensed, your site sends the control plane periodic signed telemetry ("heartbeats", roughly every fifteen minutes) and occasional operational events. This telemetry contains aggregate counts, statuses, package version, and technical health metrics only. It never contains product rows, order line items, customer personal data, review text, or payment documents; the message format rejects them by design. We use telemetry to validate licenses, deliver feature grants, detect outages, and alert you to problems. Telemetry is part of how the service works and cannot be switched off while a license is active. Details are in the privacy policy.

07Fees and billing
How you pay us.
FoloEngine is invoiced as a flat fee per licensed site, in the currency and cadence specified in your quote. We do not take a percentage of your sales and there are no per-transaction fees. Invoices are due within the period stated on the invoice. If an account becomes overdue, we will notify you in writing; if it remains unpaid after that notice, we may suspend the license until payment is received.

08Updates and support
What we maintain, and how.
We maintain the package and the control plane: bug fixes, security patches, and improvements ship as package updates that you install through Composer. When a version contains an important security fix, we may mark older versions as requiring an update; sites on outdated versions keep their core commerce running, but newly released optional features may be unavailable until you update. Support is provided by email at info@folowise.com; we respond within one business day. Support covers the engine itself, not custom code you or third parties build around it, unless a statement of work says otherwise.

09Custom storefront projects
If we build the storefront for you.
When Folowise designs and builds the storefront on your behalf (the "full package"), the scope, fees, milestones, and deliverables are defined in a separate statement of work. The terms in this document apply to the FoloEngine portion of the work; the statement of work governs the design, build, and marketing portions. If the two documents conflict, the statement of work controls for the project it describes.

10Data ownership
Your data, your database.
FoloEngine runs commerce inside your own website, against your own database, on your own infrastructure. Your products, orders, customers, and reviews never reach our systems, so we cannot access, sell, or share them. The control plane receives only the telemetry described in section 06. There is no platform lock-in over your data: it sits in standard database tables you control, and leaving FoloEngine never requires an export from us.

11Suspension and termination
When a license can pause or end.
We may suspend your license if you materially breach these terms, fail to pay after written notice, or use the engine in a way that threatens the control plane or other licensees. While a license is suspended or expired, the package degrades gracefully: customer-facing commerce pauses politely and your admin becomes read-only, but nothing is deleted, because everything lives in your database. Restoring the license restores full operation.
You may terminate at any time with written notice; fees already paid are non-refundable unless your quote or statement of work says otherwise. On termination you must stop using the package and your license key is deactivated. Your commerce data stays exactly where it always was: with you.

12Warranties and liability
What we promise, and the limit on damages.
We provide FoloEngine "as is" and make commercially reasonable efforts to keep the control plane available and the package secure and accurate. We do not warrant that the software will be uninterrupted or error-free. Because your shop runs on infrastructure you choose and operate, we are not responsible for failures of your hosting, your backups, your modifications to the package, or third-party services you connect.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, including lost profits or lost data. Our total liability under these terms is capped at the fees you paid us in the twelve months before the claim. Nothing in these terms limits liability that cannot be limited by law.

13Confidentiality
What we keep between us.
Each party agrees not to disclose the other's non-public information learned during the engagement, including pricing, technical details, and business plans, except as required by law. This obligation survives termination of the agreement for three years. License keys and signing credentials are our confidential information as well as your security responsibility.

14Changes
How these terms can change.
We may update these terms from time to time. Material changes will be announced to your account contact by email with reasonable notice before they take effect, and the "last updated" date above always reflects the current version. Continued use of FoloEngine after the effective date constitutes acceptance. If you do not accept a material change, you may terminate under section 11.

15Governing law
Which laws apply.
These terms are governed by the laws of the jurisdiction in which Folowise is registered, without regard to its conflict of laws principles. Disputes will be resolved in that jurisdiction's competent courts unless the parties agree to arbitration in writing. If any provision of these terms is found unenforceable, the rest remains in effect.
